Welcome to DERPS, a cloud-based merchant management platform designed to streamline and support your business operations. These Terms and Conditions (“Terms”) govern your access to and use of DERPS’ services, applications, tools, and website (collectively, the “Platform”). 

By registering for an account, accessing, or using our Platform, you agree to be bound by these Terms.

If you do not agree with these Terms, you must not use DERPS.

2. Eligibility

To use DERPS, you must:

• Be at least 18 years old.
• Be authorized to enter into legally binding agreements on behalf of your business.
• Provide accurate, current, and complete registration information.

We reserve the right to deny or revoke access if we believe any information is inaccurate or your use violates these Terms.

3. Services Provided

DERPS provides a secure, cloud-based merchant management system, offering the following features:

• Secure File Storage
• Attendance Tracking
• Lead Management
• Operations Tools (Ticketing, Inventory, Items, and Services Management)
• Calendar and Scheduling Tools
• Merchant Information Management
• Custom Policy Tabs

All services are provided “as-is” and “as-available,” subject to ongoing development and updates.

4. User Responsibilities

You agree to:

• Use the Platform per all applicable local, state, and federal laws.
• Keep your login credentials confidential.
• Ensure all data you upload is lawful and does not infringe upon any intellectual property rights.
• Regularly back up your data. DERPS is not liable for any data loss.

You may not:

• Reverse-engineer or decompile our software.
• Attempt to bypass security features.
• Use the Platform to transmit malware, spam, or unlawful content.

5. Account Security

You are solely responsible for activity under your account. Notify us immediately if you suspect unauthorized access. We are not liable for any losses resulting from compromised credentials.

6. Intellectual Property

All content, trademarks, software, and materials within the Platform are the property of DERPS or its licensors. Nothing in these Terms grants you ownership or license to any intellectual property unless expressly stated.

7. Data Privacy

Use of the Platform is subject to our Privacy Policy, which outlines how we collect, use, and protect your personal and business data.

By using DERPS, you consent to the collection and handling of your data as described in the Privacy Policy.

8. Payment Terms

If your subscription includes paid features, you agree to pay all fees as outlined during registration. All payments are non-refundable except as required by law.

DERPS may suspend or terminate your account for non-payment.

9. Termination

We reserve the right to suspend or terminate your account without notice for:

• Violation of these Terms
• Non-payment
• Activity we determine to be harmful to the Platform or its users

Upon termination, your access to the Platform will cease, and we may delete your stored data after a reasonable period.

10. Limitation of Liability

To the maximum extent permitted by law, DERPS shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Loss of data, revenue, or business interruption
• Errors or omissions in any content or services

Our total liability in any circumstance is limited to the amount you paid (if any) in the past 12 months.

11. Indemnification

You agree to indemnify, defend, and hold harmless DERPS and its affiliates from any claims, damages, liabilities, and costs arising from your use of the Platform, your content, or your breach of these Terms.

12. Modifications to Terms

We may update these Terms from time to time. Changes will be posted on this page with a revised “Effective Date.” Your continued use of the Platform constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Chicago, IL.
